Wholesale Loan Services (WLS) services several lines of businesses within JPMorgan Chase, including Business Banking, Global Wealth Management, Investment Banking and Commercial Banking.  The group consists of approximately 1,300 employees worldwide and is responsible for over $500 billion in loans outstanding.

 

The Transaction Coordinators, as a team within WLS, are responsible for coordinating complex syndication and bi-lateral loans for the Corporate Investment and Commercial Banks. The team works closely with the JPM origination businesses, ensuring that all necessary information is reviewed for operational feasibility and optimal execution. The team partners with various internal and external parties, including but not limited to, Debt Capital Markets (DCM), Credit Risk, Loan and Agency Services, Legal, as well as JPM Borrowers and Lender Clients. The team also interacts with counterparts internationally on cross-border transactions, originating out of North America.

 
Responsibilities
 
  • Act as senior single point of contact within WLS to proactively manage and maintain a portfolio of complex structured leveraged and high grade loan transactions for the Investment and Commercial Banks.
  • Support multiple lines of business including CIB North America Debt Capital Markets and CB CCBSI and MMBSI in coordinating the execution and closing of complex structured loan transactions, including, but not limited to, new deals, refinancings, amendments, cross-border transactions, acquisition financings, and cashless roll repricings
  • Provide ownership and complete operational oversight on syndicated loan transaction closing mechanics to ensure all closing requirements such as closing documentation, regulatory requirements and conditions precedent are met prior to deal execution
  • Review and comment on legal loan documentation for operational feasibility, optimal execution mechanics, regulatory requirements and mitigation of operational risk
  • Review internal loan related spreadsheets (e.g. funds flows) for accuracy and completeness
  • Liaise and coordinate pre-closing requirements with internal and external clients (i.e. Debt Capital Markets, Syndicate, Credit Risk, Loan and Agency Services, Product Control, Legal, Trade Settlements, Borrowers and Lenders)
  • Review and advise on funding mechanics and operational requirements as it pertains to internal booking locations, regional and currency policies
  • Initiate and coordinate trade settlement process with ClearPar and internal trade settlement team for Institutional Term Loan transactions
  • Coordinate internal KYC, FinCEN reviews and Flood due diligence
  • Assist with ad-hoc inquiries from Borrowers, Lenders, and Arrangers pertaining to the closing process and ongoing maintenance
  • Schedule internal conference calls to ensure pre-closing requirements have been met and resolve / escalate any outstanding issues
  • Assist internal colleagues with fee documentation and recognition
  • Execution of best practices and control, risk mitigation and escalation point of contact
  • Lead and act as SME  in projects and provide valuable input with various working groups created to enhance performance and efficiency

Qualifications:
  • Undergraduate degree and 7-10 years of Syndicated Loan operational and coordination experience is required
  • Extensive knowledge of the loan product / Syndicated Loan business, including an understanding of a credit agreement, loan funding mechanics, complex deal structure, ticking fees, funds flows, etc.
  • Ability to multi-task and drive execution and activities of supporting teams through the practice of strong leadership, time management, and organizational skills in a demanding, high energy, and fast paced environment
  • Proven ability to influence and partner with team members and senior management across and within the lines of business to drive issues to resolution
  • Motivated, pro-active individual who works well under pressure
  • Proven ability to communicate and highlight detailed closing requirements with a keen attention to detail, strong oral and written communication skills, and strong analytical capability
  • Proven ability to review / comment / negotiate operational and regulatory terms within legal loan documentation (e.g., Credit Agreements, Term Sheets, Amendments, A&R Credit Agreements, Waivers, and Fee Letters).
  • Demonstrates understanding of financial services, specifically within Investment Banking
  • Prior experience working with clients, counsel, front office counterparts to review pre-syndicated loan documentation ahead of closing large syndicated structures
  • Ability to operate in a challenging and rapidly changing environment with a desire to accept new assignments and the ability to learn new principles and dynamic systems quickly
  • Critical decision-making abilities including the ability to identify, escalate, and propose solutions to problems
