Interfaces with all levels of the business and Corporate Management, and advises on day-to-day legal issues affecting MNC and ADP\u0027s other EMEA businesses. Ensures in each instance that the negotiated and drafted agreement terms and conditions are made in the best interest of ADP, accurately reflect ADP\u0027s policies and business practices, including the legal directives of the ADP Corporate Legal Department. Some travel will be required.\u0026nbsp;\u003C/p\u003E \u003Cp\u003E\u003Cstrong\u003ESCOPE:\u003C/strong\u003E\u003C/p\u003E \u003Cp\u003ESignificantly impacts upon the business, revenue and operations of MNC (e.g., meeting fiscal revenue forecasts, retaining clients and achieving strategic goals) by providing legal advice and negotiating complex, outsourcing agreements (e.g., global customer contracts).\u0026nbsp;\u003C/p\u003E \u003Cp\u003E\u003Cstrong\u003EESSENTIAL RESPONSIBILITIES:\u003C/strong\u003E\u003C/p\u003E \u003Cul\u003E \u003Cli\u003EProvide day-to-day legal support to MNC, including advice and support relating to EU Data Privacy issues. Review a variety of contracts, correspondence, marketing and training materials. Interact with and advise MNC general management on issues related to global deals.\u003C/li\u003E \u003Cli\u003EDraft and negotiate complex global customer contracts with existing and prospective multinational customers.\u003C/li\u003E \u003Cli\u003ECoordinate the negotiation of global deals between the various MNC legal and business teams in the Americas, Europe and the Asia Pacific region.\u003C/li\u003E \u003Cli\u003ECooperate with and support the various local ADP legal and business teams in Europe.\u003C/li\u003E \u003Cli\u003ENegotiate licensing and other types of corporate agreements for MNC.\u003C/li\u003E \u003Cli\u003EProvide assistance to the M\u0026A team in connection with any acquisitions or dispositions involving MNC.\u003C/li\u003E \u003Cli\u003EInterface with Sales, general ADP management, and client/third party partner management and attorneys regarding the negotiation of contracts (including face to face meetings, as required), and the development of pre-contract terms and conditions within business/sales proposals. Interface with all levels of MNC personnel and the Legal Department to ensure contract terms and conditions are consistent with ADP\u0027s business practices, policies and goals (financial, fiscal, strategic, etc.).\u003C/li\u003E \u003Cli\u003EPerform other related duties as assigned.\u003C/li\u003E \u003C/ul\u003E \u003Cp\u003E\u003Cstrong\u003ESKILLS/KNOWLEDGE/EXPERIENCE:\u003C/strong\u003E\u003C/p\u003E \u003Cp\u003E\u003Cstrong\u003EEducation and Experience :\u003C/strong\u003E\u003C/p\u003E \u003Cul\u003E \u003Cli\u003EJuris Doctorate or equivalent degree from an accredited law school in Europe is required.\u003C/li\u003E \u003Cli\u003ESubstantial experience (minimum 5 years) in a corporate law firm and/or as in-house counsel in a publicly traded company in Europe or in the U.S., with specific emphasis on contract negotiation, drafting, interpretation and contract process management.\u003C/li\u003E \u003Cli\u003EExperience with the data privacy laws of the U.K., France, Germany and Spain is useful.\u003C/li\u003E \u003Cli\u003ESome experience with acquisitions helpful.\u003C/li\u003E \u003Cli\u003EExperience with software licensing and other technology-related contracts useful.\u003C/li\u003E \u003Cli\u003EExcellent verbal and written communication skills necessary.\u003C/li\u003E \u003Cli\u003EMust have very strong negotiation skills with good business judgment.\u003C/li\u003E \u003Cli\u003EStrong Analytical skills necessary.\u003C/li\u003E \u003Cli\u003EMust have very strong legal drafting skills with a meticulous attention to detail and form.\u003C/li\u003E \u003Cli\u003EMust be fluent and able to communicate effectively in English.\u003C/li\u003E \u003Cli\u003EMust be able to conduct business meetings and negotiate and draft contracts and related documents in English.\u003C/li\u003E \u003Cli\u003EAbility to speak other languages, in addition to English, preferred.\u003C/li\u003E \u003Cli\u003EMust be a motivated self-starter with the ability to manage a transaction to completion and proactively anticipate issues or problems that may arise.\u003C/li\u003E \u003Cli\u003EAbility to work under pressure and meet critical deadlines necessary.\u003C/li\u003E \u003Cli\u003EMust have excellent time management and project management skills, be able to manage/prioritize multiple contracts and balance quality with expedience.\u003C/li\u003E \u003Cli\u003EMust have good interpersonal skills and be able to interface effectively with all levels of ADP management and external attorneys and clients.\u003C/li\u003E \u003C/ul\u003E \u003CP\u003E\u003C/P\u003E \u003CP\u003EWe\u0027re designing a better way to work, so you can achieve what you\u0027re working for.
