The Legal Department has a number of key operations to meet our obligations to various regulatory oversight and investigative bodies as necessary.  This includes obligations to regulatory bodies of legal entities, both domestic and international that regulate our business as well as to civil and criminal investigation authorities or adversarial counsel. Legal is organized by Practice Groups that conform to the organization of the Firm’s lines of business and corporate staff areas.  Each Practice Group has a General Counsel who is the Practice Group Head and who reports to the Firm’s General Counsel.  This structure provides the means for the Legal teams to communicate legal and regulatory changes to the businesses and staff areas and for the lines of business and staff areas to communicate business developments that have legal or regulatory implications to the Legal teams in a timely manner.

 

The Office of the Secretary (“OTS”) partners with senior management, control groups, lines of business and corporate units to promote effective governance of the Firm, its branches, subsidiaries and affiliates. It operates through a corporate team and three regional hubs, in New York, Europe and Asia. OTS also works closely with the Firm’s Board of Directors and is responsible for the coordination of Board meetings and materials.  OTS has responsibility for the Firm’s proxy statement as well as various other public filings and interfaces regularly with JPMC’s shareholders on governance matters.  In addition, members of the practice group are involved in various industry initiatives to consider best practices for the banking industry as a whole. 

 

OTS seeks an experienced attorney with strong interpersonal and collaborative skills.  The position entails extensive coordination with OTS counterparts in Asia and Europe; other lawyers across the Legal Department; business leaders; and colleagues from the Compliance, Risk, and Oversight & Controls departments.  The environment is fast-paced, often requiring that issues be addressed rapidly to ensure the Firm maintains its first-class standards. For the right candidate, this position offers the opportunity to learn and develop expertise about corporate governance, banking law, and securities law obligations applicable to legal entities and boards of directors in the context of a large global bank.

 


 

Primary Responsibilities include:
  • Providing legal advice on governance issues to the Board of Directors and senior management;

  • Participating in the development and maintenance of best governance practices for the Firm through research and engagement with industry groups and other regulatory and governance groups within and outside of the Firm;

  • Providing support on governance, supervision, regulatory reporting and information for legal entities;

  • Managing the Firm’s subsidiary legal entities from a corporate secretary and governance perspective, including (i) providing advice on corporate governance matters, (ii) conducting subsidiary board meetings, (iii) preparing board and board committee agendas and materials, (iv) drafting a variety of documents such as board and shareholder consents, minutes, etc., and (v) maintaining key records of the legal entities;

  • Providing legal assistance to internal restructuring and capital action projects;

  • Leading OTS’ participation in the Office of Legal Obligations (O.L.O.) a firmwide, global initiative to improve the legal and regulatory control environment of the Firm.  Responsibilities include: (i) reviewing legal citations and summaries of legal obligations to determine whether and how the obligations apply to OTS and for those applicable obligations, (ii) evaluating the existing OTS control environment, including OTS policies and procedures and other governance documents; (iii) drafting and revising policies, procedures and other governance documents as needed; (iv) supporting development of a change management system to track governance updates at the state and Federal level, including the integration of “machine learning” to maintain data about OTS legal obligations.


Qualifications:
 
  • JD or educational equivalent required. Attorney candidates must be in compliance with all relevant licensing requirements including the requirements of the jurisdiction where the role will be located prior to commencement of employment
  • Must have at least 5 years of experience practicing law post-JD
  • Minimum of 5 years’ experience working with legislation or regulation of financial services or other highly regulated industries.  Experience with corporate governance law, securities law, and/or banking law preferred 
  • Mergers and acquisitions experience preferred
  • Highly organized with a focus on execution and an ability to prioritize multiple tasks appropriately
  • Ability to assimilate and process large volumes of information
  • Excellent drafting, communication and project management skills
  • Experience reviewing, preparing and drafting legal documentation
  • Ability to build and maintain positive and effective relationships at all levels internally and externally
  • Ability to consistently deliver work of a high standard while under pressure.
