The role involves providing transactional and advisory legal support to the APAC Equity Derivatives Group business as a member of the Asia Markets Legal team. Primary responsibilities include:
Drafting and negotiating structured derivatives documentation in OTC and securitized format, specifically:
The global structured products programme – handling the drafting of trade documentation for the issuance of privately placed unlisted structured products in Asia issued from the in-house global structured products programme; reviewing documentation for structured issuances; handling queries from the Business and other control/support functions in relation to the programme; assisting in the review of term sheets, review of distribution-related agreements and trading platform agreements
Access products – handling the drafting of trade documentation for the issuance of listed access products; handling any queries from the Business and other control/support functions in relation to the programme
OTC transactions -.drafting and negotiating term sheets and other related documentation for both exotic and flow OTC equity derivative transactions for both institutional and retail investors; working closely with the Business in relation to structuring of new OTC transactions
Corporate equity derivative transactions – providing legal support on complex and bespoke transactions for corporate investors, including margin loans, total return swaps, equity collar transactions and other strategic derivative transactions
Identifying and resolving legal and regulatory issues affecting the Equity Derivatives business in APAC, advising on the practical impact of cross-border issues and regulatory change initiatives to the Equity Derivatives business, and providing legal advice and oversight with respect to all of the above products.
Working closely with the Equity Derivatives business in developing and launching new products
A junior to mid-level lawyer with approximately 3 - 6 years PQE, with experience in documenting, and advising on, structured financial products and OTC derivative products, currently working in an international financial institution or at a leading law firm.
Possess a good understanding of derivative products with experience in both transactional and advisory work, with good management and execution skills
Excellent communication skills, both written and oral. Chinese language skills are advantageous but not essential
Excellent technical ability with good analytical and legal drafting skills and an eye for detail
Ability to apply technical product knowledge and experience to complex and innovative transactions and products
Good understanding of current regulatory environment and its impact on the derivatives business
Ability to multi-task and work in a fast-paced environment
An excellent team player
Ability to establish strong relationships with business and other control functions
Attorney must be licensed to practice law and a member in good standing in the state/jurisdiction in which the position is based or otherwise in compliance with the in-house counsel registration rules of that state/jurisdiction.
