Job Description To provide legal support to the Bank for the Corporate Finance business in particular (but not restricted to): - Leveraged and Structured Solutions ("LSS") - M&A Advisory - Principal Finance/Private Equity Key Roles & Responsibilities
Transactional legal support on Corporate Finance deals including LSS, Corporate Advisory and Principal Finance (including related disputes), primarily in relation to (but not restricted to) cross border transactions connected with South East Asia and South Asia.
To ensure appropriate forms of legal documents are used for dealings with third parties with adequate protections and remedies to address credit and event risk, and to help the Bank ensure transactions with third parties are valid and enforceable under the laws of all relevant jurisdictions.
Provide guidance on acceptable amendments to approved standard form documentation and review and approve any non-standard documents or material departures from approved standard form documentation.
To provide support for the development and improvement of standard documentation and processes and assist in developing standards that are applicable globally across LSS/Corporate Finance (including periodic review of standard-form documentation to ensure it remains appropriate in the light of legal and regulatory developments).
To identify and find ways to reduce legal risk.
To control the quality and cost of legal services provided by external law firms.
To lead and/or work on various Bank-wide projects requiring Legal's involvement.
To assist in reviewing Generic Product Programmes, Product Addenda and Country Addenda and related standard documentation.
Establish an effective interface with geographic Legal & Compliance staff on local legal and regulatory issues.
Work with internal stakeholders including from Credit, Tax, Risk on a variety of issues.
Qualifications & Skills:
Qualified Lawyer (4-6yr PQE)
Experience in private/public cross-border acquisition/leveraged finance, general commercial banking, including bilateral and syndicated lending
Familiarity with LMA/APLMA documentation
Experience in general company and commercial law
Experience in M&A advisory transactions will be a plus
Experience in Principal Finance/Private Equity Experience will be a plus
Understanding the key features of relevant laws and regulations in South East Asia and India will be a plus
