We are seeking a lawyer to join a dynamic, fast-paced team with one of the leading investment management organizations.
You will provide advice and counseling to Franklin Templeton's Canadian retail, institutional and high net worth business units through the preparation and review of fund offering and other continuous disclosure documents, review of sales communications and other marketing materials and the review and negotiation of investment management agreements.
Drafting and reviewing fund offering documents (including simplified prospectuses, annual information forms, fund facts and related materials) and supporting agreements to ensure compliance with applicable disclosure, legal and regulatory standards
Drafting offering documents and for reviewing and negotiating investment management/subscription agreements with institutional clients and for the sale of institutional services and/or products
Reviewing sales communications and other marketing materials for mutual funds, separate account and sub-advised strategies offered directly to the public and through intermediaries to ensure compliance with applicable disclosure, legal and regulatory standards
Providing advice regarding new legal/regulatory requirements that may impact Franklin Templeton's Canadian business
Qualifications Education and Experience:
Law degree; 4-8 years' preferred experience in corporate/securities law practice or equivalent experience gained at a leading law firm or company; investment management practice preferred
Knowledge, Skills and Abilities:
Knowledge of and experience with the Securities Act (Ontario) and/or other provincial securities legislation, the various national instruments governing mutual funds and registrant regulation requirements
Knowledge of and experience with the Trust and Loan Companies Act or other similar federal financial services legislation is an asset
Knowledge of and experience in mutual fund/asset management industry, or at least financial services generally
Excellent verbal and written communication skills
Ability to work well in a team environment and under pressure and able to handle competing priorities
License and Certifications:
Called to the Bar in a Provincial/Territorial Jurisdiction in Canada
Additional Desirable Qualifications:
Working knowledge of French language is an asset
